إيجــار الأصـــول الافتراضـية دراسة تحليلية تطبيقية في القانون المدني / Rental of Virtual Assets: An Analytical and Applied Study in Civil Law

شهدت السنوات الأخيرة تطورًا هائلًا في نطاق التعامل مع الأصول الرقمية، سواء في صورتها بوصفها عقارات افتراضية أو مقتنيات رقمية، وهو ما أفرز أنماطًا تعاقدية غير مسبوقة، من أبرزها عقود إيجار الأصول الافتراضية، وقد طرحت هذه العقود إشكالات قانونية وتقنية مركبة تمس بنيتها العقدية، وطبيعة الأصل الرقمي المؤجر، ومدى خضوع هذه العقود لأحكام القانون المدني التقليدي، وتبرز أهمية هذا الموضوع في ظل التحولات الجذرية التي فرضتها الثورة الرقمية، وما صاحبها من اعتماد متزايد على تقنيات البلوكتشين والعقود الذكية في إبرام وإدارة العقود، بما يتجاوز نطاق القواعد المألوفة في النظرية العامة للعقد، الأمر الذي يثير تساؤلات جوهرية حول مدى إمكانية إخضاع عقود إيجار الأصول الافتراضية لأحكام الإيجار الواردة في القواعد المدنية القائمة، ومدى كفاية هــذه التشريعات لاستيعاب خصائص هذا النمط التعاقدي المستحدث، أو حاجته إلى إطار تنظيمي خاص يراعي طبيعته الرقمية، وقد اعتمد الباحث منهجًا تحليليًّا تطبيقيًّا، يستند إلى رصد الفجوات القانونية، ومقارنة الوضع في عدد من الأنظمة القانونية المعاصرة، مع ربط ذلك بالتحديات التقنية المحيطة، لا سيما ما يتعلق بضعف وسائل الإثبات، وتقلب القيمة السوقية للأصل المؤجر، وإمكانية تعرضه للاختراق أو التلف، بل وارتباطه أحيانًا بأنشطة غير مشروعة، وقد انتهى البـحث إلى أنَّ عقـود إيجار الأصول الافتراضية تُطرح في سياق تنظيمي غير مكتمل، تتخلله ثغرات قانونية تؤثر على استقرار العلاقة التعاقدية، وتُضعف من الضمانات المتاحة للأطراف المتعاقدة؛ الأمر الذي يستدعي تبنّي تدخـل تشريعي منـظم يعيد صياغة التوازن العقدي، ويكفل الحماية القانونية للمستأجر والمؤجر معًا، مع مراعاة الخصوصيات الرقمية والاعتبارات الأمنية المرتبطة بطبيعة البيئة الافتراضية.
 
In recent years, there has been a significant evolution in the scope of dealing with digital assets, whether in the form of virtual real estate or digital possessions. This has led to unprecedented contractual patterns, most notably virtual asset rental contracts. These contracts have raised complex legal and technical issues affecting their contractual structure, the nature of the rented digital asset, and the extent to which these contracts are subject to traditional civil law provisions.
The importance of this topic is highlighted in light of the radical transformations imposed by the digital revolution, including the increasing reliance on blockchain technology and smart contracts in drafting and managing contracts, which goes beyond the familiar rules in the general theory of contracts. This raises fundamental questions about the possibility of subjecting virtual asset rental contracts to the rental provisions in existing civil regulations and the adequacy of these legislations to accommodate the characteristics of this new contractual pattern, or the need for a special regulatory framework that takes into account its digital nature.
The researcher adopted an analytical and applied approach, based on identifying legal gaps, comparing the situation in several contemporary legal systems, and linking this to the surrounding technical challenges, particularly the weakness of means of proof, the volatility of the market value of the rented asset, its vulnerability to hacking or damage, and its occasional connection to illicit activities.
The study concluded that virtual asset rental contracts are presented in an incomplete regulatory context, marked by legal loopholes that affect the stability of the contractual relationship and weaken the guarantees available to the contracting parties. This necessitates the adoption of organized legislative intervention to rephrase the contractual balance and ensure legal protection for both the lessee and the lessor while considering digital privacy and security considerations associated with the virtual environment.
