المستخلص

   شَرِكَة المساهمة المبسطة مَنْ ضَمِنَ الشَّرِكَات الَّتِي استحدثها نِظَام الشَّرِكَات السعودي الجَدِيد الصَّادِر عَام 1443 ه/ 2022م، بِالنَّظَرِ إلَى أَهَمِّيَّتِها وتأثيرها عَلَى جَذْبِ الاستثمارات الْمُبَاشَرَة لِلِاقتِصَاد السعودي؛ وقد قرر المنظم السعودي سريان أحكام شركة المساهمة على شركة المساهمة المبسطة فيما لم يرد به نص خاص بشركة المساهمة المبسطة، وبما يتفق مع ماهية وطبيعة الأخيرة. كما نُعتت هذه الشركة بالمبسطة إذ أنها شركة تتسم بالبساطة والمرونة، حيث تم تبسيط إدارتها، لكونها تستبعد كثيراً من الأحكام الآمرة المتعلقة بشركة المساهمة، علاوة على تبسيط الإجراءات والقرارات الإدارية بهدف رفع كفاءتها وسرعة اتخاذ القرارات، بالإضافة إلى أنها يمكن تكوينها من شخص واحد، أو أن تؤول جميع الحصص والأسهم فيها إلى شخص واحد، علاوة على التخفيف من الشروط الخاصة بالقائمين على ادارتها من حيث التعيين والعزل والمكافأة.
ويهدف هَذَا الْبَحْث إلَى الوُقُوفِ على كَيْفِيَّةِ إدَارة هَذِه الشَّرِكَةُ فِي كُلِّ مِنْ النِّظَام السعودي وَنَظِيرُه الفَرَنْسِيّ.
وَقَد تَوَصَّل هَذَا البَحْث إلَى أَنْ المنظم السعودي قَرَّر ضَرُورَة تَحْدِيدٌ نِظَام شَرِكَة المُسَاهَمَة المبسطة الأَسَاس طَرِيقَة تَعْيِينِ مَنْ يَتَوَلَّى إِدارَتَها وَطَرِيقَة عَمَلِه وَعَزَلَه، بِالإِضَافَةِ إلَى تَحْدِيدِ سلطاته وصلاحياته.
 
Abstract:
The simplified joint-stock company is among the companies introduced by the new Saudi companies system issued in 1443 AH/2022 AD, given its importance and impact on attracting direct investments to the economy. Saudi; The Saudi regulator decided that the provisions of the joint-stock company shall apply to the simplified joint-stock company unless there is a provision specifically for the simplified joint-stock company, and in a manner consistent with the nature and nature of the latter. This company was also described as simplified, as it is a company characterized by simplicity and flexibility, as its management was simplified, as it excluded many of the jus cogens provisions related to the joint-stock company, in addition to simplifying administrative procedures and decisions with the aim of increasing its efficiency and speed of decision-making In addition, it can be formed by one person, or all shares and shares in it can be transferred to one person, in addition to easing the conditions for those responsible for its management in terms of appointment, dismissal, and compensation.
This research aims to determine how this company is managed in both the Saudi system and its French counterpart.
